1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of the Memory Scan website, mobile application, Memory Strip labels, and related services provided by Memory Scan, Inc. ("Memory Scan," "we," "us," or "our").
By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services.
If you use Memory Scan on behalf of a company or other organization, you represent that you are authorized to act on its behalf.
2. Description of the Service
Memory Scan combines physical barcode or QR code labels, known as Memory Strips, with a digital system designed to associate physical items with corresponding records.
Depending on the applicable features, the system supports:
- Mapping a Memory Strip to a corresponding item record.
- Associating a Memory Strip with an authorized device.
- Restricting access by devices that are not authorized.
- Transferring authorization through a controlled transfer process.
- Recording authorized scans and completed transfers.
- Adding notes to scan records.
- Reviewing scan history and associated information.
- Using a password or verification phrase in notes to help assess whether a Memory Strip may have been replaced.
Available functionality may vary according to the application version, device compatibility, account permissions, and service configuration.
3. Appropriate use
Memory Scan is intended to help individuals and businesses secure physical items with tamper-evident labels, control which device can access an item's record, and maintain a traceable scan-and-transfer history. When using Memory Scan, you agree not to:
- Attempt to scan, access, or claim authorization over a Memory Strip attached to an item you do not own or are not authorized to manage.
- Attempt to circumvent, reverse-engineer, or interfere with the device-authorization or transfer-credential system.
- Copy, duplicate, tamper with, or create counterfeit Memory Strip labels.
- Enter false, misleading, or another person's information into scan notes, registered user details, or request forms.
- Use the service in a way that violates applicable law.
4. Account responsibilities
If you register as a user of Memory Scan, you are responsible for providing accurate registration details (such as your name or phone number) and for activity that occurs through your registered account or an authorized device associated with it. Notify us promptly if you believe your account or an authorized device has been compromised.
5. Device authorization
Each Memory Strip has, at most, one authorized device at a time. The first device to scan a new strip becomes its authorized device. A device that is not the authorized device cannot scan or access that strip's record. You are responsible for keeping the authorized device associated with your items secure, since it controls access to that item's record and the ability to transfer that access.
6. Transfer credentials
Authorized access to a Memory Strip moves between devices only when the currently authorized device deliberately issues a transfer credential and the recipient device validates it. You are responsible for only issuing a transfer credential to a device and recipient you intend to give authorized access to, and for safeguarding a transfer credential until it is validated. Memory Scan is not responsible for transfers completed using a credential you shared with, or that was obtained by, someone other than your intended recipient.
7. Scan history
Memory Scan records authorized scans and completed transfers, including applicable scan date and time, scan address, registered user details, and any notes entered, into the Memory Strip's history. Unauthorized access attempts are denied and are not added to this history. You can use scan notes, such as a password or verification phrase you enter and later check, as a helpful aid to judge whether a strip may have been replaced — this is intended as a helpful check, not a guarantee against tampering or fraud.
8. Service limitations
Memory Scan is provided as described on this website and in the app. We do not guarantee that the service will be uninterrupted, error-free, or available at all times, and features demonstrated on this website (such as the interactive scan demo) are illustrative and may not reflect live production behavior. Tamper-evident labels are designed to make tampering more visible; they do not make an item physically impossible to tamper with or guarantee detection in every circumstance.
9. Suspension & termination
We may suspend or restrict access to the app or website for an account reasonably believed to be violating these Terms or misusing the device-authorization or transfer-credential system, while we look into the issue.
10. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice to registered users. Your continued use of Memory Scan after a change becomes effective constitutes acceptance of the revised Terms.

12. Privacy Policy
Your use of Memory Scan is also subject to our Privacy Policy, which explains how we collect, use, store, and disclose information. The Privacy Policy is incorporated into these Terms by reference. If you have questions about privacy, contact memoryscan4@gmail.com.
13. Intellectual Property
The Memory Scan name, branding, website content, software, designs, and related materials are owned by Memory Scan, Inc. or its applicable licensors and are protected by applicable intellectual property laws. These Terms do not transfer ownership to you. You may not copy, distribute, modify, reverse-engineer, or commercially exploit protected materials except as permitted by law or with written authorization. Patent applications are pending; no statement on this website should be interpreted as representing that a patent has been granted.
14. Third-Party Services
Memory Scan may be accessed through third-party platforms, including app stores, or may rely on external service providers. Those services may have separate terms and privacy policies. Memory Scan, Inc. does not control third-party services and is not responsible for their independent practices, subject to applicable law.
15. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the services are provided on an "as is" and "as available" basis. Memory Scan, Inc. does not guarantee uninterrupted operation, error-free performance, or detection of every instance of tampering, fraud, or unauthorized activity. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Memory Scan, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the services. This section does not limit liability that cannot legally be limited under applicable law.
17. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, and reasonable costs arising from your unlawful use of the services, your material violation of these Terms, or your infringement of another person's rights. This provision does not apply to the extent a claim results from conduct for which you cannot legally be held responsible.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law principles, except where applicable law requires otherwise. Any dispute concerning these Terms or the services will be handled by a court with appropriate jurisdiction, subject to applicable law. Nothing in this section removes rights or remedies that cannot legally be waived.
19. General Provisions
If a provision of these Terms is found unenforceable, the remaining provisions will remain effective to the extent permitted by law. A failure to enforce a provision does not waive the right to enforce it later. These Terms and the Privacy Policy describe the general terms governing use of the services, subject to any separate written agreement that expressly applies. Provisions that by their nature should continue after termination will survive termination.
